Terms of Service

Welcome to Utmost Province Co. (“Utmost Province,” “we,” “us,” or “our”), the owner and operator of the online store located at https://utmostprovince.com. These Terms of Service (“Terms”) form a legally binding agreement between you (“you,” “customer,” or “user”) and Utmost Province Co., a Limited Liability Company organized under the laws of the State of Texas and taxed as an S Corporation, and the registered owner of the U.S. service mark UTMOST PROVINCE® with the United States Patent and Trademark Office (USPTO). These Terms govern your access to and use of our website, online store, content, and any current or future products or services (collectively, the “Services”).

Platform Disclosure: We operate and manage our online store using the Shopify e-commerce platform (shopify.com), a technology service provided by Shopify Inc. Shopify Inc. acts solely as a platform provider and is not a party to any contract formed between you and Utmost Province Co. Shopify is not responsible for our products, pricing, fulfillment, representations, warranties, or customer-service policies. Payment gateways enabled through Shopify (including Shopify Payments, Apple Pay, Google Pay, Amazon Pay, or PayPal where available) facilitate transactions on our behalf but are likewise not parties to the retail contract between you and Utmost Province.

In-House Fulfillment Notice: Unless expressly stated otherwise on a product page, all physical products sold through our store are printed, finished, packed, and shipped directly by Utmost Province Co. from Texas, United States. We do not use third-party dropshipping or print-on-demand vendors for our core apparel and collectible lines.

Acceptance of Terms: By selecting “Checkout,” “Place Order,” “Create Account,” or otherwise accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms together with our Privacy Policy, Return and Refund Policy, Shipping Policy, and our Acceptable Use Policy, and any other policies incorporated herein by reference (collectively, the “Agreement”). If you do not agree to all terms, you may not access or use the Services.

Scope of Sales: Utmost Province Co. currently sells primarily to customers in the United States and Canada and may expand internationally in the future. Where a jurisdiction’s mandatory consumer-protection rules conflict with these Terms, those rules will apply only to the minimum extent required by law.

1. Eligibility; Accounts

The Services are intended for individuals who have reached the age of majority in their place of residence (18 years in most U.S. states). The Services are not directed to children under 13. By using the Services, you represent that you meet the applicable age requirement; if you are under the age of majority, you may only use the Services with the consent and supervision of a parent or legal guardian, and that adult is responsible for your use.

If you use the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

You agree to provide accurate and complete information at checkout and when creating an account, and to update it as needed so we can fulfill orders and contact you. We may require identity, address, or payment-method verification before fulfilling an order.

You are responsible for safeguarding your account credentials. We may suspend or terminate accounts, or refuse orders, for suspected fraud, abusive chargebacks, violation of these Terms or the Acceptable Use Policy, or conduct that may harm Utmost Province or our customers.

2. Products; Brand Independence; Availability

We make reasonable efforts to display product details, artwork, colors, and sizing accurately, but variations can occur due to device displays, garment dyes, and the handmade nature of certain items. Minor variations do not constitute defects.

Utmost Province Co. offers a curated range of apparel and collectible goods featuring original artwork created by our in-house and collaborating graphic designers. Certain designs may be inspired by motorsport, anime, pop culture, or public-interest themes; Utmost Province Co. is an independent brand and is not affiliated with, endorsed by, or sponsored by Formula 1, FIA, any Formula 1 team or driver, Pokémon, The Pokémon Company International, Nintendo, One Piece, Shueisha, Toei Animation, Disney, Panini, Topps, or any related rights holder. All third-party marks remain the property of their respective owners and are referenced only in a descriptive or transformative manner.

Our collectible products (including trading cards, blind boxes, and graded cards) are obtained from authorized channels and are sold as described. Collectibles are final sale except where otherwise required by law.

We reserve the right to correct errors, limit quantities, discontinue products, restrict sales to certain regions or customers, and cancel orders affected by pricing or listing errors.

3. Orders; Offer and Acceptance

Placing an order through the Services constitutes an offer to purchase under these Terms. Automated order confirmations or payment authorizations issued by Shopify do not constitute our acceptance. A binding contract is formed only when we (a) successfully capture payment, (b) verify availability, and (c) issue a shipment or order-acceptance confirmation.

For custom, made-to-order, or invoice-based orders processed outside the Shopify checkout, acceptance occurs when we issue a written order confirmation or begin production, whichever happens first. These Terms also apply to any in-person transactions processed through our Shopify POS, if used.

We may refuse or cancel any order, even after payment capture, for reasons including product unavailability, errors in pricing or product information, address mismatches, suspected fraud, excessive chargeback history, or violation of these Terms. If payment has been collected, we will refund the amount collected (excluding non-refundable processor or currency-conversion fees charged by your bank or payment provider).

Title and risk of loss transfer to you when we deliver the goods to the carrier (USPS or UPS). Delivery is complete when the carrier marks the package “Delivered” at the address you provided. All shipments are subject to our Shipping Policy.

4. Pricing; Taxes; Payment

All prices are in U.S. Dollars (USD) unless stated otherwise. Shipping, taxes, duties, and other fees will be shown at checkout when applicable. You are responsible for any import duties, VAT, GST/HST, brokerage, or local taxes imposed by your jurisdiction or carrier.

Payment is due in full at checkout. By submitting payment information, you authorize Utmost Province Co. and its payment processors to charge your selected method for the total amount due, including product price, shipping, taxes, and fees.

We use Shopify Payments and other PCI-DSS-compliant processors; we do not store full card numbers or CVV on our servers. For details on how Shopify and our apps process personal or payment information, please see our Privacy Policy.

We may correct pricing or display errors at any time and will contact you if your order is affected.

5. Shipping; Risk of Loss; International

We ship primarily via USPS and UPS. Carrier transit times are estimates only and are not guaranteed. Once we tender your order to the carrier, risk of loss, theft, or damage passes to you. Incorrect or undeliverable addresses, failure to pick up, or refused deliveries may result in additional shipping or restocking fees.

International customers are solely responsible for duties, VAT, and customs clearance. Refused international shipments may be refunded at our discretion, less shipping and applicable fees.

6. Returns; Seven-Day Window; Restocking

All sales are final once fulfilled unless a return is expressly approved by Utmost Province Co. We accept returns only when: (a) you contact us within seven (7) calendar days of carrier-confirmed delivery, and (b) the item is in new, unworn, unwashed condition with original tags and packaging.

To request a return, email orders@utmostprovince.com within the seven-day window. If approved, we will issue a Return Merchandise Authorization (RMA). Unapproved returns may be refused or returned to sender.

A standard 35% restocking fee applies to all approved returns. The customer must provide and pay for return shipping and must provide a valid tracking number. Original outbound shipping and payment-processor fees are non-refundable.

The following categories are strictly final sale (except where prohibited by law): collectibles (including Labubu blind boxes, Pokémon TCG, One Piece TCG, Disney Lorcana, MTG, Topps, Panini, and similar trading-card items), opened or tampered sealed products, custom or made-to-order apparel, undergarments or intimate apparel, and any items marked “final sale” at purchase.

7. Digital & Downloadable Goods (Future Offerings)

From time to time we may offer digital or downloadable content (for example, artwork files, design templates, or other creative assets) for purchase or limited license.

Unless otherwise required by law, all digital/downloadable products are non-returnable and non-refundable once access or download is made available to you.

All digital products are licensed, not sold. You receive only the rights expressly granted in the product description; all other rights are reserved to Utmost Province Co. You may not redistribute, resell, or claim authorship of any digital asset unless a specific written license from us says you can.

8. Data Security, Privacy & Consumer Requests

We collect and process personal information to fulfill orders, operate loyalty programs, prevent fraud, and market in compliance with applicable U.S. state privacy laws (including CCPA/CPRA where applicable), GDPR principles where relevant, and Shopify’s data-protection framework.

To exercise data-access, correction, deletion, or “do not sell / do not share” rights where applicable, please submit a request through https://utmostprovince.com/pages/data-opt-out or email privacy@utmostprovince.com. We will verify your request to protect your account.

9. Intellectual Property; Trademarks; User Content

All artwork, apparel designs, photography, text, logos, branding elements, layout, and other creative assets displayed on the Services are the property of Utmost Province Co. or its owner-creator and are protected under U.S. and international copyright and trademark laws.

UTMOST PROVINCE® and UP Rewards®, together with related logos and trade dress, are trademarks or service marks of Utmost Province Co. Unauthorized use, imitation, or dilution of these marks is prohibited and may result in legal action under the Lanham Act.

You may not copy, reproduce, distribute, modify, display, or create derivative works from our content without our prior written consent.

If you submit reviews, testimonials, photos, or other user-generated content, you grant us a worldwide, perpetual, royalty-free license to use, reproduce, publish, and display that content in connection with our business and marketing, consistent with our Privacy Policy. 10. DMCA & IP Complaints

If you believe material on our Services infringes your copyright or trademark, please send a detailed notice to brandprotection@utmostprovince.com including your contact information, the work claimed to be infringed, the exact URL on our site, a statement of good-faith belief, and a statement made under penalty of perjury that you are authorized to act. We may remove or disable access to allegedly infringing material consistent with the Digital Millennium Copyright Act (17 U.S.C. §512).

11. Third-Party Services & Integrations

Our Services integrate with third-party apps and platforms (for example, Shopify, Omnisend, BON Loyalty, Pandectes, ShipStation, Google, Meta, and similar providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party errors, outages, or handling of your data once you leave our site.

12. Acceptable Use

You may not use the Services to scrape, harvest, or collect data; to interfere with site security; to submit fraudulent orders or chargebacks; to infringe third-party rights; or to violate export/sanctions laws. 13. SMS, Email Marketing & Loyalty

By opting in to email or SMS, you agree to receive transactional and marketing messages from us or our providers (such as Omnisend). Message and data rates may apply. 14. Accessibility (ADA)

We aim to provide an accessible experience consistent with WCAG 2.1 AA where feasible. If you encounter any accessibility barrier or need an alternative format of a policy, contact clientservices@utmostprovince.com or privacy@utmostprovince.com and we will assist.

15. Export, Sanctions & Prohibited Destinations

All products are offered subject to U.S. export-control laws. You may not purchase for, ship to, or resell to persons or destinations subject to U.S. embargoes or sanctions. By purchasing, you represent you are not on any U.S. denied-party list.

16. Disclaimers

The Services and all products are provided “as is” and “as available,” without warranties of any kind, to the maximum extent permitted by law. Handmade or small-batch apparel may contain natural variations. Collectibles are sold “as described,” with no guarantee of rarity, future value, or grading outcome.

17. Limitation of Liability

To the fullest extent permitted by law, Utmost Province Co. and its owners, officers, employees, and contractors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or lost data, arising from or related to your use of the Services or products. Our total liability to you for any claim will not exceed the amount you paid for the order giving rise to the claim or USD $500, whichever is less.

18. Indemnification

You agree to defend, indemnify, and hold harmless Utmost Province Co. and its affiliates from any claim or demand arising out of (a) your breach of these Terms or of our Acceptable Use Policy, (b) your violation of law or third-party rights, or (c) any content or materials you submit to us.

19. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

You agree to first try to resolve any dispute informally by emailing clientservices@utmostprovince.com within thirty (30) days of the issue. If not resolved, the dispute will be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, to take place in Tarrant County, Texas, unless applicable law requires otherwise.

Proceedings will be conducted on an individual basis only; class or representative actions are not permitted. Either party may bring an eligible claim in small-claims court.

20. Changes to These Terms

We may update these Terms from time to time to reflect operational, legal, or regulatory changes. The “Updated and Effective” date above will tell you when the latest version took effect. Your continued use of the Services after the posting of revised Terms means you accept the changes.
