Terms of Service

Welcome to Utmost Province Co., LLC (“Utmost Province,” “we,” “us,” or “our”), the owner and operator of the online store located at https://utmostprovince.com. These Terms of Service (“Terms”) form a legally binding agreement between you (“you,” “customer,” or “user”) and Utmost Province Co., LLC, a Limited Liability Company organized under the laws of the State of Texas, and the registered owner of the U.S. service mark UTMOST PROVINCE®. These Terms govern your access to and use of our website, online store, content, and any current or future products or services (collectively, the “Services”).

Platform Disclosure: We operate and manage our online store using the Shopify e-commerce platform. Shopify acts as a technology platform provider and is not generally a party to the retail contract formed between you and Utmost Province. However, for certain eligible international transactions processed through Shopify Managed Markets, Global-e may act as merchant of record, and additional checkout disclosures or terms may apply in the checkout flow.

In-House Fulfillment Notice: Unless expressly stated otherwise on a product page, all physical products sold through our store are designed, printed, finished, packed, and fulfilled directly by Utmost Province from Fort Worth, Texas. We do not use third-party dropshipping or third-party print-on-demand vendors for our core apparel and collectible lines.

Acceptance of Terms: By selecting “Checkout,” “Place Order,” “Create Account,” or otherwise accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms together with our Privacy Policy, Return, Exchange & Refund Policy, Shipping & Delivery Policy, and our Acceptable Use Policy, and any other policies incorporated herein by reference (collectively, the “Agreement”). If you do not agree to all terms, you may not access or use the Services.

Scope of Sales: Utmost Province currently sells primarily to customers in the United States, Canada, and Australia and may expand internationally in the future. For certain eligible international orders, checkout may be provided through Shopify Managed Markets. Where mandatory consumer-protection rules conflict with these Terms, those rules apply only to the minimum extent required by law.

1. Eligibility; Accounts

The Services are intended for individuals who have reached the age of majority in their place of residence. The Services are not directed to children under 13. By using the Services, you represent that you meet the applicable age requirement. If you are under the age of majority, you may use the Services only with the consent and supervision of a parent or legal guardian, and that adult is responsible for your use.

If you use the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

You agree to provide accurate and complete information at checkout and when creating an account, and to update it as needed so we can fulfill orders and contact you. We may require identity, address, or payment-method verification before fulfilling an order.

You are responsible for safeguarding your account credentials. We may suspend or terminate accounts, or refuse orders, for suspected fraud, abusive chargebacks, violation of these Terms or the Acceptable Use Policy, or conduct that may harm Utmost Province or our customers.

2. Products; Brand Independence; Availability

We make reasonable efforts to display product details, artwork, colors, and sizing accurately, but variations can occur due to device displays, garment dyes, manufacturing tolerances, and the handmade or made-to-order nature of certain items. Minor variations do not constitute defects.

Utmost Province offers a curated range of apparel and collectible goods featuring original artwork created by our in-house and collaborating graphic designers. Certain designs may be inspired by motorsport, anime, pop culture, or public-interest themes; Utmost Province is an independent brand and is not affiliated with, endorsed by, or sponsored by Formula 1, FIA, any Formula 1 team or driver, Pokémon, The Pokémon Company International, Nintendo, One Piece, Shueisha, Toei Animation, Disney, Panini, Topps, or any related rights holder. All third-party marks remain the property of their respective owners and are referenced only in a descriptive, nominative, or transformative manner.

Our collectible products, including trading cards, blind boxes, and graded cards, are sold as described and are generally final sale except where otherwise required by law.

We reserve the right to correct errors, limit quantities, discontinue products, restrict sales to certain regions or customers, and cancel orders affected by pricing, listing, inventory, or compliance errors.

3. Orders; Offer and Acceptance

Placing an order through the Services constitutes an offer to purchase under these Terms. Automated order confirmations, payment authorizations, or cart-reservation messages do not by themselves constitute final acceptance.

For standard domestic orders, a binding contract is formed when we accept the order for fulfillment and issue a shipment confirmation, order-acceptance confirmation, or begin performance.

For certain eligible international orders processed through Shopify Managed Markets, the checkout may identify Global-e as merchant of record for the transaction. In those cases, applicable checkout disclosures, tax/duty calculations, and payment-processing steps in that flow also apply.

We may refuse or cancel any order, even after payment authorization or capture, for reasons including product unavailability, pricing or listing errors, address mismatches, suspected fraud, export or sanctions concerns, excessive chargeback history, or violation of these Terms. If payment has been collected, we will refund the amount collected, subject to any non-refundable processor, currency-conversion, or bank-imposed charges outside our control.

4. Pricing; Taxes; Payment

All prices are in U.S. Dollars (USD) unless stated otherwise in the applicable market or checkout flow. Shipping charges, taxes, duties, import taxes, and other fees are shown in the applicable checkout flow when relevant.

For certain eligible international orders processed through Shopify Managed Markets, displayed prices may include duties and import taxes, or those amounts may be collected at checkout. The final checkout total shown before payment controls.

Payment is due in full at checkout. By submitting payment information, you authorize Utmost Province and its payment processors, and where applicable the merchant of record in the checkout flow, to charge your selected payment method for the total amount due.

We use Shopify Payments and other PCI-DSS-compliant payment providers; we do not store full card numbers or CVV on our own servers. For details on how Shopify and our apps process personal information, please review our Privacy Policy.

We may correct pricing, tax, listing, or display errors at any time and will contact you if your order is materially affected.

5. Shipping; Delivery; International Orders

All physical orders are printed and fulfilled in Fort Worth, Texas. Domestic orders are generally shipped using USPS and UPS. Eligible Canada and Australia orders may be processed through Shopify Managed Markets and fulfilled using DHL eCommerce or other services shown at checkout.

Carrier transit times are estimates only and are not guaranteed. Weather, customs processing, carrier interruptions, labor disruptions, remote-area routing, and other events outside our control may delay shipment or delivery.

For eligible international orders processed through Shopify Managed Markets, Global-e may act as merchant of record, and duties, import taxes, and related cross-border charges may be included in displayed prices and/or collected at checkout.

Incorrect or undeliverable addresses, failure to pick up, failed delivery attempts, customs refusal, or refused or unclaimed shipments may result in additional shipping charges, reduced refunds, or denied credits, as described in our Shipping & Delivery Policy and Return, Exchange & Refund Policy.

6. Returns; Exchanges; Seven-Day Window

Return, exchange, and store credit requests must be submitted within seven (7) calendar days of carrier-confirmed delivery through our returns portal at https://utmostprovince.com/pages/return-exchange-portal.

All requests are subject to manual approval. Unapproved returns may be refused or returned to sender.

Standard made-to-order apparel is generally not eligible for refund, but may be eligible for exchange or store credit under our Return, Exchange & Refund Policy.

Collectibles, opened sealed products, custom or personalized items, and other designated final-sale items are generally not returnable except where required by law. Nothing in this section limits any non-excludable rights you may have under applicable consumer protection laws.

7. Digital & Downloadable Goods (Future Offerings)

From time to time we may offer digital or downloadable content, such as artwork files, design templates, or other creative assets, for purchase or limited license.

Unless otherwise required by law, all digital or downloadable products are non-returnable and non-refundable once access or download is made available.

All digital products are licensed, not sold. You receive only the rights expressly granted in the product description or written license from us. All other rights are reserved.

8. Data Security, Privacy & Consumer Requests

We collect and process personal information to fulfill orders, operate loyalty programs, prevent fraud, respond to support requests, and market in compliance with applicable law.

To exercise data-access, correction, deletion, or similar rights where applicable, please submit a request through https://utmostprovince.com/pages/data-opt-out or email privacy@utmostprovince.com.

9. Intellectual Property; Trademarks; User Content

All artwork, apparel designs, photography, text, logos, branding elements, layout, and other creative assets displayed on the Services are the property of Utmost Province Co., LLC or its licensors and are protected under U.S. and international copyright, trademark, and related laws.

UTMOST PROVINCE® and UP Rewards®, together with related logos and trade dress, are trademarks or service marks of Utmost Province. Unauthorized use, imitation, dilution, or infringement is prohibited.

You may not copy, reproduce, distribute, modify, display, or create derivative works from our content without our prior written consent.

If you submit reviews, testimonials, photos, or other user-generated content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, publish, display, adapt, and distribute that content in connection with our business and marketing, consistent with our Privacy Policy. 10. DMCA & IP Complaints

If you believe material on our Services infringes your copyright or trademark, send a detailed notice to brandprotection@utmostprovince.com including your contact information, the work claimed to be infringed, the exact URL on our site, a statement of good-faith belief, and a statement made under penalty of perjury that you are authorized to act. We may remove or disable access to allegedly infringing material consistent with applicable law, including the Digital Millennium Copyright Act where relevant.

11. Third-Party Services & Integrations

Our Services integrate with third-party apps and platforms, including Shopify, payment providers, email or SMS tools, loyalty tools, analytics tools, fraud-prevention tools, and marketing platforms. Your use of those services may also be governed by their own terms and privacy policies. We are not responsible for third-party errors, outages, or handling of your data once you leave our site or interact directly with those providers.

12. Acceptable Use

You may not use the Services to scrape, harvest, or collect data; interfere with site security; submit fraudulent orders or chargebacks; infringe third-party rights; violate export or sanctions laws; or otherwise misuse the Services. 13. SMS, Email Marketing & Loyalty

By opting in to email or SMS, you agree to receive transactional and marketing messages from us or our service providers. Message and data rates may apply. You can opt out at any time using the unsubscribe or opt-out mechanism provided in the message.

14. Accessibility

15. Export, Sanctions & Prohibited Destinations

All products are offered subject to U.S. export-control and sanctions laws. You may not purchase for, ship to, or resell to persons or destinations subject to applicable embargoes or sanctions. By purchasing, you represent that you are not on any applicable denied-party list and that your transaction does not violate applicable law.

16. Disclaimers

To the maximum extent permitted by law, the Services and all products are provided “as is” and “as available,” without warranties of any kind except as expressly stated by us in writing or as required by law. Handmade, garment-dyed, or small-batch apparel may contain natural variations. Collectibles are sold “as described,” with no guarantee of rarity, future value, or grading outcome.

17. Limitation of Liability

To the fullest extent permitted by law, Utmost Province and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or lost data, arising from or related to your use of the Services or products.

To the fullest extent permitted by law, our total liability to you for any claim will not exceed the amount you paid for the order giving rise to the claim or USD $500, whichever is less.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Utmost Province and its affiliates from any claim, demand, loss, liability, cost, or expense arising out of (a) your breach of these Terms or our policies, (b) your violation of law or third-party rights, or (c) any content or materials you submit to us.

19. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, except to the extent mandatory consumer-protection law requires otherwise.

You agree to first try to resolve any dispute informally by emailing clientservices@utmostprovince.com within thirty (30) days of the issue.

To the fullest extent permitted by law, if a dispute is not resolved informally, it will be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its applicable consumer arbitration rules, to take place in Tarrant County, Texas, unless applicable law requires otherwise. Either party may bring an eligible claim in small-claims court.

To the fullest extent permitted by law, proceedings will be conducted on an individual basis only and not as a class, consolidated, or representative action. Nothing in this section is intended to deprive you of any non-waivable rights or remedies available under applicable law.

20. Changes to These Terms

We may update these Terms from time to time to reflect operational, legal, or regulatory changes. The “Updated & Effective” date above indicates when the latest version took effect. Your continued use of the Services after revised Terms are posted means you accept the changes to the extent permitted by law.

21. AI Assistants and Automated Support

We may provide customer support, product guidance, and shopping assistance through automated technologies, including AI-powered chat assistants. These tools are designed to enhance your experience by providing real-time responses, product recommendations, sizing guidance, and general support.

When you interact with these systems, you may choose to provide information such as your name, email address, phone number, preferences, or details related to your inquiry. This information may be processed to deliver assistance, improve service quality, and personalize your experience.

These features may be supported by third-party technology providers acting on our behalf. By using these tools, you acknowledge and agree to the use of automated systems as part of the Services. Automated systems are used to assist and enhance customer interactions and do not make decisions that produce legal or similarly significant effects without human involvement.
